What is an SPV (Special Purpose Vehicle)?

An SPV (“Special Purpose Vehicle”) enables a group of investors to pool capital to invest in a single deal. It’s basically crowdfunding for accredited investors: Deal leads acquire an allocation and “crowdfund” capital via the SPV, which invests as a single shareholder on the cap table.
