What is Common/Preferred Stock?
Common stock is a security that represents ownership in a corporation. Holders of common stock elect the board of directors and vote on corporate policies.
Venture capital firms are issued preferred stock, rather than common stock. Preferred stock comes with certain rights attached — it generally has dividends paid out to its owners before common stock and has priority in a liquidation event, but usually does not have voting rights.
