What is a Beneficial Owner?

A ultimate beneficial owner (UBO) is a person who is the primary beneficiary when an institution initiates a transaction. Beneficial ownership is distinguished from legal ownership, though in most cases, the legal and beneficial owners are one and the same.

The threshold for beneficial ownership may vary between jurisdictions, but typically falls in the range of 10–25%. For SPVs formed in the state of Delaware (as those on Sydecar are), a ultimate beneficial owner is anyone who owns over 25% of the SPV.
