American Waterfall
An American waterfall is a structure under which a fund manager receives carried interest on a deal-by-deal basis, prior to fund investors receiving their initial money back. This is sometimes referred to as a deal-by-deal waterfall and is more favorable for the fund manager.
This is the opposite of the European waterfall structure, which is the more common structure in VC.
